This document is an offer by SPR-CONSULTING LLC to enter into a paid services agreement for arranging participation in the selected BIOS event.
1. Definitions
Organiser — SPR-CONSULTING LLC. Participant — the individual for whom a ticket is purchased; the Payer and Participant may be different people.
Event Page — the BIOS page specifying, before payment, the event's name and format, date, time, venue, programme, included services, ticket price and material participation restrictions.
Ticket — electronic confirmation of one Participant's right to attend the selected event. A Ticket does not include travel, accommodation or other services not expressly listed on the Event Page.
2. Subject matter of the agreement
The Organiser provides the Participant with the opportunity to attend the selected event in accordance with the Event Page, and the Payer pays for this service.
The specific event, included services and full ticket price are stated on the Event Page and repeated in the checkout window before proceeding to payment. This information is recorded in a server-side order snapshot and forms part of the agreement.
The principal speakers, topic, format, venue, date and time constitute material information. The programme may be refined without changing the topic, total duration or paid services. The current version is shown before payment and recorded in the order. The Organiser does not guarantee a commercial outcome, the conclusion of transactions or resolution of a particular management challenge.
3. Booking and conclusion of the agreement
Before payment, the Payer provides the Participant's first and last name, an email address for the order and fiscal receipt and, optionally, a phone number.
The agreement is concluded after the Payer reviews the Event Page and this version of the Offer, separately accepts the terms, and the Organiser receives a confirmed successful payment status from YooKassa.
BIOS retains the event code, price and currency, Offer version and checksum, acceptance time, order identifier and payment status. One paid order provides a place for one Participant. Where capacity is limited, a place is allocated after payment is confirmed.
4. Price, payment and receipt
The full ticket price is shown in roubles before payment and recorded in the order. Subsequent price changes do not affect an order already paid for.
Payment is made once through YooKassa. Tickets do not involve automatic renewal or recurring charges. BIOS does not receive or store the card number, expiry date or CVC.
An electronic fiscal receipt is sent to the email address provided. An order is treated as paid only after its payment status has been verified with YooKassa on the server.
5. Admission and Participant substitution
For admission, the Organiser may ask for order details or the email address used for the purchase. Bank details and medical data are not required.
The Payer may substitute another Participant at no charge by sending the new Participant's details and order identifier to info@bioshealth.su no later than 18:00 Moscow time on the day before the event. A later substitution may be possible if the Organiser has time to process it before the meeting begins.
The Participant must follow venue rules, safety requirements and standards of respectful communication. The Organiser may end the participation of a person who poses a safety risk or seriously disrupts proceedings, taking account of the circumstances and mandatory legal requirements.
6. Participant withdrawal and refunds
The Payer or Participant may give notice of withdrawal from the agreement at any time by sending a request to info@bioshealth.su. Include the full name, order identifier, event and email address used for payment. The refund is made to the Payer through the original payment method. The Organiser may verify the requester's connection to the order, but does not request a full card number, CVC or password.
For withdrawal before the event begins, the amount paid is refunded less expenses actually incurred by the Organiser that relate directly to fulfilling that particular order. Such expenses are not set in advance as a penalty or fixed percentage and must be justified and documented if deducted. If there are no such expenses, the full price is refunded. Where expenses exist, the Organiser provides their breakdown and calculation together with the refund decision.
After the event has begun, refunds are considered in light of the portion of the service actually provided and documented expenses. Failure to attend without giving notice of withdrawal does not remove mandatory consumer rights, but is taken into account when determining the service provided and expenses incurred.
Refunds use the original payment method unless another method is agreed and permitted by law and the payment system. The Organiser provides the calculation and processes the refund within ten calendar days of receiving the request, unless another mandatory deadline is set by law. The time for funds to arrive after processing also depends on the Payer's bank.
7. Event cancellation, rescheduling and changes
If the Organiser cancels the event, the full ticket price is refunded. The refund is processed within ten calendar days after notice of cancellation or receipt of the information needed to identify the payment, unless another mandatory deadline is set by law.
If the date or time is changed, the event moves to another city, the topic, format or duration changes materially, or an announced principal speaker is replaced, the ticket remains valid. The Payer may withdraw and request a full refund after receiving notice and before the changed event begins.
If the venue changes within Moscow, the Organiser informs the Payer in advance. If the change makes attendance materially more difficult, a refund request is considered under the full-refund rules and applicable law.
Notice is sent by email and, if provided, by phone. If the Organiser withdraws from the agreement for reasons unrelated to a breach by the Participant, the statutory consequences apply, including a refund and compensation for losses to the extent required by law.
8. Circumstances beyond the parties' control
If holding the meeting as announced is impossible or unsafe, the Organiser may reschedule it, change the venue or cancel it, and must give prompt notice. This does not remove the right to a refund or other mandatory rights of the Payer and Participant.
9. Personal data
The Organiser processes first and last names, email, optional phone number, order details, the accepted version of the terms and payment information to perform the agreement, provide admission, send organisational messages and receipts, manage substitutions and refunds, ensure security and comply with the law.
The minimum necessary payment and contact information is shared with YooMoney NBCO LLC for payment, refunds and receipts. Medical data and BIOS Personal materials are not included in payment requests. Further details are in the BIOS Personal Data Processing Policy.
Contact details collected for an order are not added to advertising mailing lists without separate consent.
10. Liability and mandatory rights
The parties are liable under the laws of the Russian Federation. This Offer does not restrict consumer rights, including the right to withdraw from a services agreement subject to payment of the service provider's actually incurred expenses.
Terms that conflict with mandatory rules or infringe consumer rights do not apply. The invalidity of an individual term does not invalidate the remaining provisions of the agreement.
11. Enquiries and disputes
Questions, withdrawal notices, requests for Participant substitution or refunds, and complaints may be sent to info@bioshealth.su, by phone at +7 (915) 336-55-12 or to the Organiser's address. Do not share full card numbers, CVCs, passwords or medical information.
The complaints procedure does not deprive consumers of the right to approach a court or government authority. Territorial jurisdiction is determined by law and is not limited to the Organiser's location.
12. Version of the Offer
The version accepted before payment applies to the order. A new version does not change an existing agreement without a lawful basis and the necessary consent. The Event Page and server-side order snapshot form part of the agreement as regards the specific event, price, date, time, venue, programme and included services.
